amended the FY2020 Budget and ratified and affirmed the purchase of one (1) vehicle 10

scanner for the Public Works/Vehicle Maintenance Division; and 12

WHEREAS, said resolution contained an error in the budget amendment to increase 14
15
Facility Maintenance/Capital Outlay; and 16
17
WHEREAS, said budget amendment should have increased Vehicle Maintenance/ 18
19
Capital Outlay. 20

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prattville 22

which are no longer needed for public or municipal purposes; and 9

WHEREAS, §11-43-56, Code of Alabama, 1975, as amended, authorizes the 11

municipal governing body to dispose of unneeded personal property. 13

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prattville 15
16
that the following personal property owned by the City of Prattville, Alabama, is no longer 17
18
needed for public or municipal purposes and said property shall be removed from the 19
20
inventory of the Parks and Recreation Department: 21

LLC, Moncrief Enterprises, LLC, and Walthall Family Partnership, LTD, to lease the open 13
14
land located along the west side of North Court Street from the north end of the “Picker 15
16
House” to the south end of the concrete building located on the north end of said lot, to 17
18
include the Gurney Warehouse for storage use; and 19

WHEREAS, said agreement expired on January 15, 2020; and 21

WHEREAS, all parties desire into enter into a new Lease and Indemnity Agreement 23
24
for a one-year term dated January 15, 2020 to January 15, 2021. 25

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prattville 27

that the Mayor is hereby authorized and approved to enter into a Lease and Indemnity 29

year agreement with RiverTree Systems, Inc. to perform certain auditing services; and 10

WHEREAS, said agreement is due to expire on February 21, 2020; and 12

WHEREAS, the City of Prattville and RiverTree Systems, Inc. desire to renew the 14
15
agreement under which RiverTree Systems, Inc. shall continue to provide auditing services 16
17
for the City; and 18

WHEREAS, the cost of said services is $75.00 per hour; and 20
21
WHEREAS, said cost is a budgeted expense of the Finance Department. 22

NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Prattville 24

REIMBURSEMENT RESOLUTION PURSUANT TO 4
UNITED STATES TREASURY REGULATION SECTION 1.150-2 5

Recitals. (a) The United States Department of the Treasury has issued final regulations relating 8
to the use of proceeds of tax-exempt obligations for the reimbursement of expenditures made prior to the 9
date of issuance of tax-exempt obligations. Under the regulations, in general, if specified requirements are 10
satisfied, then proceeds used for reimbursement are deemed to be spent on the date of reimbursement. If 11
such requirements are not satisfied, then proceeds used for reimbursement will remain subject to rebate, 12
arbitrage and other rules relating to tax-exemption until ultimately spent. 13
14
(b) The City of Prattville, Alabama (the “City”) has determined to construct a fire 15
station and police annex as further described on Exhibit A hereto (the “Series 2020A Construction 16
Improvements”). 17
18
(c) In order to proceed with acquisition and construction of the Series 2020A 19
Construction Improvements, pending the issuance of tax-exempt obligations in an approximate principal 20
amount of $3,160,000.00 to pay the costs thereof, it may be necessary for the City to use its own funds to 21
pay certain expenses in connection with the Series 2020A Construction Improvements and the financing 22
thereof. 23

(d) If the City is required to spend its own funds on the Series 2020A Construction 25
Improvements pending the issuance of such tax-exempt obligations as may be required to provide 26
temporary or long-term financing for such improvements, it is the City’s official intent to reimburse the 27
City for such expenditures out of proceeds of such tax-exempt obligations issued in connection with the 28
Series 2020A Construction Improvements by the City. 29

NOW, THEREFORE, BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF 31
PRATTVILLE, as follows: 32

Section 1. The City hereby declares its official intent to reimburse the expenditures made by 34
the City with respect to the Series 2020A Construction Improvements and all related improvements 35
thereto in whole or in part from the proceeds of tax-exempt obligations which may be issued hereafter by 36
the City. Pending the issuance of the tax-exempt obligations, any funds of the City spent on the Series 37
2020A Construction Improvements will be expended from the City’s General Fund. 38

Section 2. The amount for which the City expects to reimburse the City’s General Fund from 40
the proceeds of such obligations will not exceed $3,160,000.00. 41

Section 3. Any reimbursement to the City is expected to be made on or before the later of the 43
date eighteen months after the expenditure is paid or after the property is placed in service. Any 44
expenditure to be reimbursed shall be either for engineering expenses or other preliminary expenses as 45
recognized in Section 1.150-2(f) or shall be a capital expenditure properly chargeable to capital account (or 46
would be so chargeable with a proper election such as an election under Section 266) under general federal 47
income tax principles. 48

Section 4. This Resolution shall not compel the City to issue the tax-exempt obligations 50
referenced herein. The issuance and sale of such obligations shall be subject to the final approval and 51
authorization thereof by the governing body of the City, including, without limitation, the approval of the 52
purposes, use of proceeds, principal amounts, terms of maturity and payment dates, interest rates, offering 53
prices and redemption prices and terms, and costs of issuance. 54

Section 5. All ordinances, resolutions, orders, or parts of any thereof, of the City in conflict, or 56
inconsistent, with any provision of this resolution hereby are, to the extent of such conflict or inconsistency, 57
repealed. 58

Section 6. This resolution shall take effect immediately. 60

14, 2020 at 10:00 a.m. and Webb Builders, Inc. was the lowest responsible bidder with a bid 16

of $3,718,000.00. 18

NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prattville that 20

the FY2020 Budget is hereby amended as follows: 22

Increase Capital Projects Fund/Station 4 Construction $2,110,000.00 24
Increase Capital Projects Fund/Debt Proceeds $2,110,000.00 25

The balance of funding for said project is budgeted. 27

BE IT FURTHER RESOLVED that Bid No. 020-001 is hereby awarded to Webb 29

Builders, Inc. at a cost of $3,718,000.00 for the construction of Fire Station No. 4 and Police 31

Annex and said funds are approved and appropriated from Capital Projects Fund/Station 4 33

Construction. 35
