The Council has found and determined, and does hereby find, 11 determine and declare, as follows: 12 13 (a) It is in the best interests of the City to acquire, construct and install 14 various capital improvements within the corporate limits of the City, including, without 15 limitation, the following (collectively the “Series 2022-A Improvements”): 16 17 (i) capital improvements and renovations to Pratt Park; 18 (ii) capital improvements and renovations to Newton Park; and 19 (iii) capital improvements and renovations to Stanley – Jensen 20 Stadium. 21 22 (b) It is necessary and desirable for the City to authorize the structure and 23 offering to the public market of its General Obligation Warrants, Series 2022-A (the 24 "Series 2022-A Warrants"), for the foregoing purposes. 25 26 (c) The Series 2022-A Warrants shall be issued in a maximum principal 27 amount of $13,000,000; provided, however, the expected principal amount of the 28 Series 2022-A Warrants is approximately $12,500,000. 29 30 Section 2. Subject to Section 4 hereof, the Council does hereby approve, adopt, 31 authorize, direct, ratify and confirm: 32 33 (a) the engagement of Rice Advisory LLC, as financial advisor to the City 34 (the “Financial Advisor”) in connection with the Series 2022-A Warrants and for a term 35 not to exceed three years; 36 37 (b) the engagement of Stifel, Nicolaus & Company, Incorporated, as 38 underwriter (the “Underwriter”), to provide all investment banking and underwriting 39 services with respect to the offering, sale and issuance of the Series 2022-A Warrants; 40 41 (c) the engagement of Maynard, Cooper & Gale, P.C., as bond counsel, 42 and the preparation of the financing and disclosure documents for the Series 2022-A 43 Warrants by such bond counsel; 44 45 (d) the determination of the proposed structure of the Series 2022-A 46 Warrants by the Financial Advisor; 47 48 (e) the terms, and distribution by the Underwriter, of a preliminary official 49 statement with respect to the Series 2022-A Warrants, on behalf of the City, and upon 50 completion by the City and as approved by the Mayor, Council President or the 51 Finance Director of the City; and 52 53 (f) the terms and provisions of a warrant purchase agreement (the “Warrant 54 Purchase Agreement”) with respect to the Series 2022-A Warrants, by the City and 55 the Underwriter. 56 57 Section 3. Subject to Section 4 hereof, the Mayor, Council President and the 58 Finance Director of the City are each hereby authorized and directed to execute and deliver 59 the Warrant Purchase Agreement as well as documents related to the aforementioned 1 engagements listed in Section 2 with respect to the Series 2022-A Warrants. 2 3 Section 4. The issuance and sale of the Series 2022-A Warrants by the City shall be 4 subject to: 5 6 (a) the final approval and authorization thereof by the Council, including 7 without limitation the purposes, use of proceeds, principal amounts, terms of maturity 8 and payment dates, interest rates, offering prices and redemption prices and terms, 9 and costs of issuance and credit enhancement; and 10 11 (b) the approving legal opinion of Maynard, Cooper & Gale, P.C., as bond 12 counsel. 13 14 Section 5. If it becomes necessary for the City to expend any funds for the Series 15 2022-A Improvements prior to the issuance of the Series 2022-A Warrants, the City hereby 16 declares its official intent that (i) proceeds of the Series 2022-A Warrants be used to 17 reimburse the City for capital expenditures made by the City from the general funds thereof 18 in amounts not exceeding the lesser of the amounts spent therefore which are eligible for 19 reimbursement under Treas.
