WHEREAS, Corks and Wine LLC d/b/a Corks and Wine has applied for a Lounge Retail
Liquor — Class I I (Package) License for a business located at 1013 South Memorial Drive,
Prattville, Alabama, 36067; and
WHEREAS, a public hearing was set by Resolution Book 2022, Page 072, and held
June 7, 2022, at 6:00 p.m., and that at such time and place all persons who desired had an
opportunity to be heard in favor of or in opposition to such resolution.
NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Prattville
hereby approves the issuance of a Lounge Retail Liquor— Class II (Package) License to Corks
and Wine LLC d/b/a Corks and Wine, for the business located at 1013 South Memorial Drive,
Prattville, Alabama, 36067, provided that the requirements of the Zoning Ordinance are met.

10 WHEREAS, Amendment No. 772 to the Constitution of Alabama (1901) Section 94.01
11
12 (c)(2) of the Recompiled Constitution of Alabama authorizes the City to lend its credit to or
13
14 grant public funds and things of value to aid any corporation, or other business entity for the
15
16 purpose of promoting the economic development within its jurisdiction; and
17
18 WHEREAS, the City Council of the City of Prattville, Alabama (the "City Council"), has
19
20 been asked to consider and approve an agreement for use and grant of public funds and
21
22 things of value (the "Agreement') to James Hardie Building Products, Inc., a Nevada
23
24 corporation (the "Corporation); and
25
26 WHEREAS, pursuant to and in conformity with Amendment 772 to the Constitution of
27
28 Alabama (1901), as amended, on May 29, 2022, the City Clerk published that certain Notice of
29
30 Action Proposed to be Taken by the City of Prattville, Alabama, at a Public Hearing (the
31
32 "Notice"), in the Montgomery Advertiser, the newspaper having the largest circulation in the
33
34 City of Prattville (the "C�"), which publication was at least seven days prior to the date of the
35
36 meeting at which this resolution is being considered; and
37
38 WHEREAS, such Notice further invited members of the public to attend the Public
39
40 Hearing and submit comments regarding the actions the City Council is considering with
41
42 respect to the agreement described in the Notice; and
43
44 WHEREAS, the City Council, at its Public Hearing on June 7, 2022, offered members
45
46 of the public the opportunity to comment on the matters set forth in the Notice and those
47
48 comments have been considered by the City Council; and
49
50 WHEREAS, the public benefits sought to be received by approval of the Project
51
52 Development Agreement include:
53
54 1. Promoting the economic development of the City;
55 2. Creating employment opportunities in the City;
56 3. Increasing the tax revenues in and around the City;
57 4. Promoting the location, relocation, expansion and retention of commercial enterprises
58 in the City;
59 5. Preserving and improving the aesthetic quality of commercial development, inuring to
60 the economic health of the City;
61 6. Improving the quality of life for citizens in and around the City.

63 NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Prattville as

1. The City Council finds and determines that the Notice published in the Montgomery
Advertiser satisfies the requirements of Amendment 772.
2. That the Agreement between the City, the Corporation, Autauga County, Alabama,
and the Water Works Board of the City of Prattville, Alabama, which is in substantially final
form shall be and is hereby approved.
3. That the Mayor of the City shall be and hereby is authorized to execute and
enter into the Agreement and deliver the Agreement set forth in this resolution to the
other parties to the Agreement or to their representatives.
4. That the Mayor shall further be authorized to make such corrections or revisions
to the text or form of the Agreement as necessary prior to such execution, provided that any
such correction or revision shall not alter the material terms of the Agreement.
5. That, after due consideration, the City Council finds and determines that the
expenditure of public funds and granting of things of value for the purposes and in the
manner specified in the Agreement, and the execution of the Agreement approved in this
resolution, serve valid and sufficient public purposes, notwithstanding any individual benefit
accruing to the Corporation, or any other private entity or entities.
6. That the public benefits to the City resulting from the Agreement and transactions
hereby approved include the promotion and advancement of local economic and commercial
development and the stimulation of the local economy; an increase in employment
opportunities within the City; an expansion of the City's tax base, which will result in
significant additional tax revenues for the City; an increase in tax revenues for the schools
operating in the City; and the expansion and retention of industrial and commercial
enterprises in the City, all of which inure directly to the economic health and public welfare of
the City and its residents.

I NOTICE OF PROPOSED ACTION

3 Notice is hereby given that on June 7, 2022, at 6:00 p.m., Central Time in the Prattville City
4 Council Chambers in City Hall 101 West Main Street, Prattville, AL 36067, the City Council of
5 the City of Prattville, Alabama (the "City") will hold its regularly scheduled meeting which will
6 constitute a public meeting, to consider, discuss, vote upon, and take action on the adoption of
7 a resolution concerning the proposed execution, on behalf of the City, of a project agreement
8 (the "Agreement") with James Hardie Building Products Inc., a Nevada corporation ("James
9 Hardie"), the City, Autauga County, Alabama (the "County) and the Water Works Board of the
10 City of Prattville, Alabama (the "Board"), under the terms of which James Hardie plans to
11 expand its fiber cement siding manufacturing facility located in the City (the "Project"). The
12 Project is expected: to result in the creation of at least 200 new full-time jobs, additional capital
13 investment of approximately $400,000,000, and additional tax revenue to the City. As specified
14 in the Agreement, the public funds and things of value to be granted to James Hardie will
15 consist of (i) an abatement of non -educational ad valorem property taxes on personal and real
16 property associated with the Project for a period of twenty (20) years, (ii) an abatement of non-
17 educational sales, use, excise, lease and similar taxes related to Project construction, (iii) an
18 abatement of deed, mortgage and all other similar recording taxes with respect to the Project,
19 (iv) waiver of any fees associated with the granting or preparation of abatement documents
20 and any plan review, construction and building permit fees, (v) the transfer of title by the City
21 to real property related to the Project for less than fair market value, (vi) the granting of a right
22 of first refusal as to certain property owned by the City, (vii) the provision of favorable sewer
23 rates, and (viii) certain in -kind contributions by the City related to road improvements.

25 The incentives that the City proposes to make available to James Hardie are provided in
26 accordance with Amendment No. 772 to the Constitution of Alabama (1901), which authorizes
27 the City to lend its credit to or grant public funds and things of value in aid of or to any
28 corporation or other business entity for the purpose of promoting the economic development
29 of the City.

31 The public benefits sought to be achieved by the proposed grant of public funds under the
32 Agreement are the promotion and advancement of local economic and commercial
33 development and the stimulation of the local economy; an increase in employment
34 opportunities within the City; an expansion of the City's tax base, which will result in significant
35 additional tax revenues for the City; an increase in tax revenues for the schools operating in
36 the City; and the expansion and retention of industrial and commercial enterprises in the City,
37 all of which inure directly to the economic health and public welfare of the City and its residents.

39 Members of the public are invited to attend the meeting and submit comments regarding the
40 actions that the City Council is considering with respect to the Agreement described in this
41 Notice.
