Box 681933 Prattville, AL 36068, to 22 23 Parcel Number 19 05 15 4 004 003.000; and 24 25 WHEREAS, in compliance with Section 46-31, City of Prattville Code of Ordinances, the 26 27 Code Enforcement Officer gave written notice to the owner of said property on March 28, 2025, 28 29 to correct, remedy or remove the condition of garbage and rubbish within ten (10) days; and 30 31 WHEREAS, the owner of said property has failed and/or refused to correct, remedy or 32 33 remove said condition by the expiration of said notice; and 34 35 WHEREAS, Chapter 46 et seq., City of Prattville Code of Ordinances, permits the City 36 37 Council to declare the keeping of garbage and rubbish to be a public nuisance and authorizes 38 39 the City to do such work or make such improvements that are necessary to correct, remedy or 40 41 remove such condition, pay therefore, and charge the expenses incurred for the abatement 42 43 process to the owner of such property. 44 45 NOW, THEREFORE, BE IT RESOLVED that the City Council of the City of Prattville 46 47 declares that the garbage and rubbish at 118 Overlook Drive continued to be a public nuisance 48 49 at the expiration of the notice of violation. 50 51 BE IT FURTHER RESOLVED that the Mayor shall have the garbage and rubbish at 52 53 said property removed using City forces or private contractors. This policy is intended to supplement but not replace or supersede any applicable 30 state and federal laws governing conflicts of interest applicable to the City. 31 32 ARTICLE II. 33 Definitions 34 1. Interested Person. Any director, department head, principal officer, or member of a 35 committee with governing board delegated powers, who has a direct or indirect financial 36 interest, as defined below, is an interested person. 37 2. Financial Interest. A person has a financial interest if the person has, directly or 38 indirectly, through business, investment or family: 39 a. An ownership or investment interest in any entity with which the City has a transaction 40 or arrangement; 41 b. A compensation arrangement with the City or with any entity or i ndividual with which 42 the City has a transaction or arrangement; or 43 c. A potential ownership or investment interest in, or compensation arrangement with, 44 any entity or individual with which the City is negotiating a transaction or arrangement. 45 Compensation includes direct and indirect renumeration as well as gifts or favors that are not 46 insubstantial. A financial interest is not necessarily a conflict of interest. Under Article III, 47 Section 2, a person who has a financial interest may have a conflict of interes t only if the 48 appropriate governing board or committee decides that a conflict of interest exists. 49 50 ARTICLE III. 51 Procedures 52 1. Duty to Disclose. In connection with any actual or possible conflict of interest, an 53 interested party must disclose the existence of the financial interest and be given the 54 opportunity to disclose all material facts to the directors and members of committees with 55 governing board delegated powers considering the proposed transaction or 56 arrangement. 57 2. Determining Whether a Conflict of Interest Exists. After disclosure of the financial 58 interest and all material facts, and after any discussion with the interested person, he/she 59 shall leave the governing board or committee meeting while the determination of a 60 conflict of interest is discussed and voted upon. The remaining board or committee 61 members shall decide if a conflict of interest exists. 62 63 64 3. Procedures of Addressing a Conflict of Interest. 1 a. An interested person may make a presentation at the governing board or committee 2 meeting, but after the presentation, he/she shall leave the meeting during the 3 discussion of, and the vote on, the transaction or arrangement involving the possible 4 conflict of interest. 5 b. The chairperson of the governing board or committee shall, if appropriate, appoint a 6 disinterest person or committee to investigate alternatives to the proposed transaction 7 or arrangement. 8 c. After exercising due diligence, the governing board or committee shall determine 9 whether the City can obtain with reasonable efforts a more advantage ous transaction 10 or arrangement from a person or entity that would not give rise to a conflict of interest. 11 12 d. If a more advantageous transaction or arrangement is not reasonably possible under 13 the circumstances not producing a conflict of interest, the governing board or 14 committee shall determine by a majority vote of the disinterested directors whether the 15 transaction or arrangement is in the City’s best interest, for its own benefit, and 16 whether it is fair and reasonable. In conformity with the above determ ination, it shall 17 make its decision as to whether to enter into the transaction or arrangement. 18 4. Violations of the Conflict of Interest Policy. 19 a. If the governing board or committee has reasonable cause to believe a member has 20 failed to disclose actual or possible conflicts of interest, it shall inform the member of 21 the basis of such belief and afford the member an opportunity to explain the alleged 22 failure to disclose. 23 b. If, after hearing the member’s response and after making further investigation as 24 warranted by the circumstances, the governing board or committee determines the 25 member has failed to disclose an actual or possible conflict of interest, it shall take 26 appropriate disciplinary and corrective action. 27 28 ARTICLE IV. 29 Records of Proceedings. 30 The minutes of the governing board and all committees with board delegated powers shall 31 contain, at a minimum: 32 a. The names of the persons who disclosed or otherwise were found to have a financial 33 interest in connection with an actual or possible conflict of interest, any action taken to 34 determine whether a conflict of interest was present, and the governing board’s or 35 committee’s decision as to whether a conflict of interest in fact existed. 36 b. The names of the persons who were present for discussions and votes relating to the 37 transaction or arrangement, the content of the discussion, including any alternatives 38 to the proposed transaction or arrangement, and a record of any votes tak en in 39 connection with the proceedings. 40 41 ARTICLE V. 42 Compensation. 43 a. A voting member of the governing board who receives compensation, directly or 44 indirectly, from any contract for services is precluded from voting on matters pertaining 45 to that member’s compensation. 46 b. A voting member of any committee whose jurisdiction includes compensation for 47 matters and who receives compensation, directly or indirectly, from the contract for 48 services is precluded from voting on matters pertaining to that member’s 49 compensation. 50 c. No voting member of the governing board or any committee whose jurisdiction 51 includes compensation matters and who receives compensation, directly or indirectly, 52 from the contract either individually or collectively, is prohibited from providing 53 information to any committee regarding compensation. 54 55 ARTICLE VI. 56 Annual Statements. 57 Each director, principal officer, and member of a committee with governing board delegated 58 powers shall annually sign a statement which affirms such person: 59 a. Has received a copy of the conflict of interest policy; 60 b. Has read and understands the policy; 61 c. Has agreed to comply with the policy; and 62 63 64 d. Understands the City is subject to Alabama law concerning industrial development 1 authorities and that it must engage primarily in activities which accomplish one or more 2 of its lawful purposes. 3 4 ARTICLE VII. 5 Periodic Reviews. 6 To ensure the City operates in a manner consistent with Alabama law, periodic reviews shall 7 be conducted. The periodic reviews shall, at a minimum, include the following subjects: 8 a. Whether compensation arrangements and benefits are reasonable based on 9 competent survey information, and the result of arm’s length bargaining. 10 b. Whether partnerships, joint ventures, and arrangements with management 11 organizations conform to the City’s written policies, are properly recorded, reflect 12 reasonable investment or payments for goods and services, and further industrial 13 development purposes. 14 15 ARTICLE VIII. 16 Use of Outside Experts. 17 When conducting the periodic reviews as provided in Article VII, the City may but need not, use 18 outside advisors.
